Q: What is a registered office?
A: A company's registered office, typically located at the company secretary's office, is responsible for maintaining all statutory records, registers, minute books, and common seals. It acts as an intermediary between the company and the Companies Commission of Malaysia (CCM) and other governmental bodies.

Q: What are the conditions for a registered office address?
A: A registered office address must be in a physical location and not a virtual one such as a website. Furthermore, the registered office address must be situated in the Malaysia where the company was established.

Q: What are the documents to be kept at the registered office?
A: Section 47 of the Companies Act 2016 (CA 2016) mandates that certain documents must be kept at the registered office, including a notice of registration, constitution, certificates, registers books, minutes of board and members’ meetings, written communications to all members, financial statements, accounting records, instruments of charges, and etc.

Q: Can the documents required under Section 47 of the CA 2016 be kept elsewhere?
A: Yes. Save for board minutes and resolutions, all other documents required under Section 47 of the CA 2016 can be kept at a place other than the registered office. A notification to that effect must be submitted to the CCM.  

Q: Can a company have more than one registered office addresses?
A: No, a company is permitted to have one registered company address. There exists no provision for multiple registered addresses.

Can the registered office be changed?
A:
Yes, the CCM shall be notified of any change to the address of the registered office within 14 days of such change.
