A:
The Administrative Regulations of the People’s Republic of China on the Registration of Market Entities shall come into effect on March 1, 2022.

Who are market entities under China’s laws?
A:
“Market Entities” shall refer to all natural persons, legal persons, and unincorporated organizations that engage in profit-oriented business activities in China, including:
1. Companies, non-corporate enterprise legal persons and their branches;
2. Sole proprietorships, partnerships and their branches;
3. Specialized farmers’ cooperatives and their branches;
4. Individually-owned businesses;
5. Branches of foreign companies;
6. Other market entities stipulated by laws and administrative regulations.

What does the market entity registration include?
A:
It includes establishment registration, change registration and deregistration registration.

Q:
What are the general registration items of market entities?
A:
1.  Name;
2. Type of entities;
3. Business scope;
4. Domicile or main business premises;
5. Registered capital or capital contribution;
6. Name of legal representative, executive partner or person in charge.

In addition, the following items should also be registered according to the type of market entity:

1. Names of shareholders of limited liability companies, promoters of joint stock limited companies, and capital contributors of non-corporate enterprise legal person;
2. The name and residence of the investor of the sole proprietorships;
3. Name, residence, and method of liability bearing of the partners of the partnership;
4. Name, residence, and place of business of the individual business owner;
5. Other matters stipulated by laws and administrative regulations.
