If there is only one legal person for a company limited, who should be responsible for creating the article of association?
A: If a company limited is formed by a single legal person shareholder, when the company is established, its articles of association should be drawn up by this legal person.

According to Company Act, if the company’s capital has reached the announced threshold by the government (the current amount is over NT$500 Million), then it must issue stocks.

A:
Yes. If a non-public company would like to issue stock, it must be marked clearly in the article of association.

How to handle the change of number of company directors or supervisors?
A:
The number of company directors and supervisors should be marked clearly in the article of association, therefore, if the number has been changed, the company should commence a shareholder meeting to revise the article of association.

Q:
Can shareholders decide the items of special shares by themselves? Should it be included in the article of association?
A:
According to the Company Act Article 356-7, when a company issues special shares, the rights and duties should be stated in the article of association.
