Q: What is company secretary and what are the duties of company secretary in the Company?
A: Under the Hong Kong Companies Ordinance (“CO”), a company secretary is an officer of a company and liable to penalties if the company secretary omits to carry out the duties as imposed. The duties of company secretary depend on the size and business nature of the company and are mainly responsible for ensuring the compliance of operation of the company, especially with the CO. Moreover, the company secretary always being the contact point between the company and the government bodies such as the Companies Registry and the Inland Revenue Department.

Q: What is the minimum number of company secretary of a companyin Hong Kong?
A: Every Hong Kong company is required to appoint at least one company secretary.

Q: Are there any restrictions on nationality and residency of the company secretary in Hong Kong?
A: Company secretary must be a Hong Kong registered company, a foreign company having a place of business located in Hong Kong or an individual who is a Hong Kong resident.

Q: If I want to engage a service provider as the company secretary of my company, what shall I be noted?
A: You must only appoint a company having Trust and Corporate Service Provider (“TCSP”) license as the company secretary. From 1 March 2018, only company with TCSP license is eligible to offer the company services such as provision of company secretary and registered office. Q: If I am the director of my company, can I be the company secretary?
A: Yes, director can also act as the company secretary of a company. However, the sole director is not eligible to act as the company secretary of the company.

Q: Do I need to inform the Companies Registry if changing the company secretary of my company?
A: Yes, you must notify the Companies Registry by filing a statutory form within 15 days after appointment or cessation of company secretary. Kaizen can provide such service to fulfill relevant requirement, you may contact our staff for further details.
