Q: How is a manager appointed?
A: In a limited liability company, the appointment of a manager shall be approved by many of the voting rights of all shareholders. In a company limited by shares, a manager shall be appointed by a resolution by the board of directors adopted with the attendance of a majority of the directors and the consent of most of the directors present.

Q: If a company has two or more managers, are there any requirements regarding their titles?
A: The titles of company managers may be determined at the company’s discretion. For company registration purposes, all such individuals shall be registered as managers.

Q: What proof of residence is required when an overseas Chinese or a foreign national serve as a company manager?
A: When a foreign national serves as a company manager, the proof of residence may consist of a copy if the manager’s passport annotated with the current residential address, whether located domestically or abroad.

Q: Is a manager of an overseas Chinese or foreign-invested company required to have a domicile or residence within the country?
A: A manager is not subject to any requirement to have a domicile or residence within the country.

Q: Is a change of registration required when a manager resigns?
A: Yes. A change of registration shall be completed within 15 days after the resignation.
