  1. Requirement for Set up a Germany Company

    As a form of capital company, the limited liability company GmbH is equivalent to a legal person with EUR25,000 registration capital at least.

  2. The Advantage of Germany Company

    (1)
    It is good to service local clients, as some local clients or suppliers only would like to contact the companies registered in German, not overseas;
    (2)
    Promoting the products and the company value, and the sale price could be a bit low to the market price in Germany;
    (3)
    The registered capital is only EUR25,000 for company registration, which can be used for expenses;
    (4)
    It is entitled to apply for permanent residence in Germany once the German company went smoothly around 4-5 years;
    (5)
    Improving the brand image and international image of the company;
    (6)
    Using commercial secretary could save a great of cost.

  3. Incorporation Cost

    Our fee for the incorporation of the Germany Limited Liability Company with the capital not more than EUR25,000 is from EUR12,900 to EUR17,400, depends on the city of the registered address decided by client. In particular, our fee cover the following services:

    (1)
    Germany Limited Liability Company Incorporation – Pre- & Post-Incorporation

    (a) Performing name availability search;
    (b) Preparation of the business project;
    (c) Preparation of the Articles of Incorporation and other relevant documents;
    (d) Arrange to submit relevant documents to the German Chambers of Industry and Commerce for evaluation of the Company's business scope;
    (e) Handle the witness signing procedures at the Germany notary office;
    (f) Pay official registration fee to German Chamber of Commerce and Industry;
    (g) Preparation of the resolution of the first general meeting; and
    (h) Registration service fee for the Germany Company.

    (2)
    Opening Corporate Bank Account

    Prior to Incorporation, the investor(s) must open a bank account to remit capital and the directors must visit Germany for bank account opening.

    (3)
    Handling for Taxation Registration

    After completed the registration procedures with the Germany notary office and the court in Germany, the German Company must apply for taxation registration at the Federal Tax Office. This package included the Value-added Tax registration service.

    (4)
    Company Registered Address Service

    The Company registered in Germany shall have a registered office prior to the incorporation. In the short term, Kaizen could assist to provide a registered address for incorporation. In the long term, your Company still need to rent a physical office in Germany.

    (5)
    Designated Contact Person Service

    Every Germany Company shall have a local person to act as designated contact person to answer any question from the authority for business registration and taxation matters. If the managing director does not have German work permit and no local staff is hired by the Company, we could act as the designated contact person service for 1 year.

    Note:

    1. This package includes our service fee and the government registration fee. However, it does not included the courier fee during the registration process, if any.
    2. For parts of the cities in Germany, such as Hamburger, the Company registration documents and the Articles of Incorporations can be submitted in the English. While in other cities, the documents can be submitted in German. The fee will be quoted upon request.
    3. The fee for signature verification by the notary office is about EUR1,600, the German Chamber of Commerce and Industry official fee is about EUR200, the aforementioned fees will be settled from the corporate bank account of the Company.

  4. Required Documents and Materials

    (1)
    Proposed company name; Please provide 2 to 3 English names.
    (2)
    The certified shareholder identification documents (For individual investor, please provide passport and residential address proof issued within 3 months; For corporate investor, please provide certificate of incorporation, articles of associations, register of directors and register of members);
    (3)
    The certified passport and residential address proof issued within 3 months (such as telephone bill, bank statement or other utility bill) of the executive directors;
    (4)
    Lease agreement (Please ignore this section if the address is provided by Kaizen);
    (5)
    Registered capital. Unless otherwise indicated, Kaizen will set the registered capital at EUR25,000;
    (6)
    The business scope of the Germany Company (Principle business activity);
    (7)
    Filling the “KYC Questionnaires” and “Oversea Company Incorporation Order Form” provided by Kaizen.

  5. Registration Time

    Under normal circumstances, the whole process for the incorporation takes around 2 to 3 months.

  6. Payment Term and Payment Methods

    Upon receiving the order form for the registration of Germany Company, Kaizen will require full payment in advance. Kaizen currently accepts Hong Kong Dollar check, cash, payment via telegraphic transfer and credit card payment via PayPal.

    If China or Taiwan official tax invoice is required, Value-Added Tax or Business Tax at the prevailing rate in the respective jurisdiction will be charged. If payment made by PayPal, an additional 5% of handling fee will be charged.
