To maintain a company, you need to renew the Business Registration Certificate (“BR”) and filed an Annual Return (“AR”) to the Hong Kong Companies Registry every year. Also, you may also require renewing the services provided by professional agent such as Company Secretary, Registered Office and other services, if any. Services about bookkeeping, auditing and tax filing normally not be included in the annual renewal package since those scope of services are different depend on the nature of business. |

Yes, you can appoint a professional agent to assist for the renewal. Kaizen is a licensee of Trust and Corporate Service Provider that may provide completed package for renewal including preparing and filing of AR, named Company Secretary and provision of Registered Office. |
Q: | What is an AR? When is the deadline of filing the AR? |
A: |
An AR is a form containing the particulars of the company such as the address of the registered office, shareholders, directors, company secretary, etc. The deadline of the filing the Annual Return is 42 days after the company’s anniversary date. |
Q: | How to renew the BR? When is the deadline of the payment of BR fee? |
A: |
A demand note will be sent to the address within one month before it expired. The payment of BR fee can be made via Internet or by person once received the demand note. The validity period of the BR will be ended on the anniversary date of the Company unless it selected valid for 3 years. The payment deadline of the BR fee is about 1 month after the end of validity period. |
Q: | Is there any penalty if fail to renew the AR and BR of company? |

The company is subject to pay a higher registration fee (from HK$870 to HK$3,480) and penalty of HK$300 for late delivery of AR and BR respectively. In addition, the company and every responsible person of the company who fail to renew the company are liable to prosecution and, if convicted, default fines. Upon received a summon from the Court to prosecute the company, you are required to appoint a representative to attend the hearing to the Court and pay a fine. |
