How to establish a branch?
A:
When a company establishes a branch, it shall apply for registration with the company registration authority and obtain a business license.

What matters do the company need to publicize?
A:
The company shall publicize the following matters through the National Enterprise Credit Information Publicity System in accordance with regulations:
  1. The amount, method and date of capital contribution subscribed and paid in by the shareholders of the limited liability company, and the number of shares subscribed by the promoters of the joint stock limited company;
  2. Information on changes in stock rights and shares of shareholders of limited liability companies and promoters of joint stock limited companies;
  3. Information on obtaining, changing and deregistering administrative licenses;
  4. Other information provided by laws and administrative regulations.

Is there a limit on the number of shareholders in a limited liability company?
A:
A limited liability company shall be established with the capital contribution of more than 1 but less than 50 shareholders.

Q:
How to formulate the articles of association of a limited liability company?
A: The articles of association shall be formulated jointly by the shareholders in establishing a limited liability company.

Q:
What matters are included in the articles of association of a limited liability company?
A: The articles of association of a limited liability company shall specify the following matters:
  1. Name and domicile of the company;
  2. Business scope of the company;
  3. Registered capital of the company;
  4. The name of the shareholder;
  5. The amount, method and date of contribution of the shareholder;
  6. The organization of the company and its methods of formation, powers, and rules of procedure;
  7. The methods of formation and change of the company's legal representative;
  8. Other matters deemed necessary by the shareholders' meeting.
The shareholders shall sign or seal on the articles of association.
