What is the minimum requirement for setting up a limited partnership in Hong Kong?
A:
The following is the minimum requirement for setting up a limited partnership:
  1. At least one general partner;
  2. At least one limited partner;
  3. The business address in Hong Kong; and
  4. HK$8.00 for every HK$1,000 or part of HK$1,000 of the sum contributed by each limited partner.

What is general partner?
A:
General partners have unlimited liability for their partnership business. Therefore, they are equally responsible for all debts or obligations accrued by partnership business.

Q:
What is limited partner?
A:
Limited partners only have limited liability for their partnership business. In other words, they are only liable for the debts or obligations accrued by partnership business valued at stated amount and restricted to the amount of their contribution of the capital. Normally, they will not take part in the management of the partnership business and no power to bind the company.

Q:
Who can be general partner or limited partner?
A: The nature person and body corporate can be general partner or limited partner.

Q:
Is there any restriction on the nationality and residency of general partner and limited partner?
A: No, there is no any restriction on the nationality and residency of general partner and limited partner.

Q:
What documents should be submitted for incorporating limited partnership?
A:
In general, the following documents and information must be submitted to Kaizen for due diligence purpose and incorporation:
  1. Details of proposed company name and nature of business;
  2. Copy of identification document of each general partner and limited partner;
  3. Copy of residential address proof of each general partner and limited partner within last three months; and
  4. Amount of contribution of each limited partner.

Q:
How long does it take to incorporate the limited partnership in Hong Kong?
A:
In general, it takes five working days to complete registration after all the documents are prepared and submitted.

Q:
What documents will be returned after registration?
A:
After the limited partnership is officially registered, Kaizen will return the following documents for your retention once we receive:
  1. Original copy of Certificate of Registration;
  2. Original copy of Business Registration;
  3. Copy of partnership agreement; and
  4. A set of activation documents.
