Is there a limitation of capital for the Taiwan Limited Company? |

There is no regulation stipulated the registered capital in the Taiwan Company Act, however, the capital shall able to afford the company expense during the initial period. We suggested the registered capital shall be able to cover the company expense for at least 6 months after the company registered, the capital will suggest set for at least TWD 500,000.

Yes, the shareholder of the Taiwan Company should actually remit the capital into the Taiwan Company bank account, and the capital remitted shall verify by the CPA in Taiwan.

Could the capital of the Taiwan Company remit by Kaizen on behalf of the client? |
A: |
No, the registered capital of the Taiwan Company must be remitted by the account of the shareholder to the bank account of the Taiwan Company. If the capital is required to remit on behalf, it could only remit on behalf between the shareholders.

Could the capital return to the shareholders immediately after remitted? |
A: |
No, the capital remitted to the company could not return to the shareholder immediately, the capital remitted deemed as the working capital of the Taiwan Company. According to the Article 9 of Taiwan Company Act, where the capital stock receivable by a company has not been actually paid up by its shareholders, but are declared as having paid up in its incorporation application, or where the share prices have been paid up by its shareholders but are subsequently refunded to its shareholders or withdrawn by such shareholders with the permission of the company after having completed the procedures for company incorporation, the responsible persons shall each be punished with imprisonment for a term of not more than five years, detention, or in lieu thereof or in addition thereto a fine in an amount of not less than TWD 500,000 but not more than TWD 2.5 million.

Yes, the registered capital is equivalent to the working capital of the Taiwan Company, it could be used to purchase the office equipment or the personnel costs.
