Enactment of Seychelles International Business Companies (Amendment) Bill, 2026

We are pleased to announce the introduction of amendments to the Seychelles International Business Companies (“IBC”) legislation, following the enactment of the International Business Companies (Amendment) Bill, 2026 (the “Amendment Bill”), effective from 1 January 2027. These amendments aim to modernize the law and introduce significant updates, particularly in the following areas:

1. Public access to list of Directors
   
   The names of current IBC directors become publicly accessible.
   
   These amendments are designed to improve transparency, streamline administrative processes and ensure compliance with international standards.
   
   
2. Timeframe for appointment of First Director
   
   First director of the IBC is required to be appointed within 30 days instead of 9 months from the date of incorporation.
   
   These amendments are designed to align Seychelles' legislation with international standards and streamline business operations.
   
   
3. Disclosure of Nominee Directors and its nominato
   
   For Companies with a Nominee Director (i.e. a nominee act on behalf of a principal director (the “nominator”)), the details of the nominator must be included in the Register of Directors.  
   
   If the nominator is an individual, the register must include their name, address, date of birth, nationality and national identity number. If the nominator is a body corporate, it should include its name, address, date of incorporation, place of incorporation and incorporation number.
   

This change aims to enhance transparency and accountability within companies.
