Hong Kong Limited Partnership Incorporation Package #HKLP01

Unless otherwise indicated, the Hong Kong Limited Partnership stated in this quotation refers to a Limited Partnership formed and registered in Hong Kong in accordance with the Limited Partnerships Ordinance.

Any form of trade, commerce, craftsmanship, profession, calling or other activity carried on for the purpose of gain carried on by limited partnership required to obtain a Business Registration Certificate from the Hong Kong Inland Revenue Department and apply to Companies Registry for registration.

Our fees for the formation and registration of a limited partnership in Hong Kong are HKD9,400. The fees quoted drafting the registration documents, provide a registered office address for one year and the payment of official filing fees to the Hong Kong Government.

For the purpose of registration of a Hong Kong limited partnership, the client needs to provide the proposed name of the limited partnership and identity proof, such as Hong Kong identity card or passport or Certificate of Incorporation, and address proof, such as utility bill or address of registered office, of each person who will be the general partner, limited partner.

The registration of a limited partnership in Hong Kong will take 5 working days after all the documents are prepared and submitted.

If the business to be carried out in Hong Kong requires extra licence or permit, we can help apply for such licence or permit and our fees will be quoted upon request.

Hong Kong Limited Partnership Registration Fees

Our fees for handling the registration of a Hong Kong Limited Partnership with not more than HK$1,000 initial contribution is HKD9,400. In particular, our fees cover the services listed below.

(1)	Prepare the application form
(2)	Professional service fees and government fees for the incorporation and first year business registration
(3)	1 year business address service
(4)	Submit the application form to the Business Registration Office and Companies Registry
(5)	Collection of Business Registration Certificate (valid for one year) form the Business Registration Office

Note:

(1)	All fees quoted are exclusive of delivery charge and tax, if any.
(2)	The above quotation does not include drafting of Partnership Agreement. You can provide your own Partnership Agreement or engage our service for drafting.
(3)	HK$8.00 capital fee will be charged for every HK$1,000 or part of HK$1,000 of the sum contributed by each limited partner. Additional fee will be charged for the business with more than HK$1,000 capital.
(4)	For the partners who are non Hong Kong residents, Business Registration Office has right to require the business to provide further information (https://www.ird.gov.hk/eng/pdf/br_queryletter.pdf) to prove how they did commence their businesses in Hong Kong without valid working permit. Our package does not cover relevant services and additional works for handling the enquiry.

Note:

(1)	If you consider necessary, you take tailor make the Partnership Agreement to include whatever provisions that you think fit and meet your specific needs. Kaizen can draft the Partnership Agreement in accordance with your instructions. Our fee for this service will be quoted upon request.
(2)	Kaizen can arrange to have the registration documents notarisation by Notary Public and legalisation by the consulate general and designed attesting officers in Hong Kong. Our fees for these services will be quoted upon request.

Payment Terms and Methods

We currently accept Hong Kong Dollar check, cash or TT and credit card payment through PayPal only. If payment is settled through PayPal, an extra 5% service fee will be charged. Upon confirmation of order, we will issue fee note and email it together with detailed wire instructions to you. Because of the nature of services, we require full payment in advance. In addition, once service is commenced, no service fees will be refunded.

Basic Structure of a Hong Kong Limited Partnership

(1)	At least one general partner;
(2)	At least one limited partner;
(3)	The business address must be located in Hong Kong;
(4)	HK$8.00 for every HK$1,000 or part of HK$1,000 of the sum contributed by each limited partner.

Materials Required for Registration of Hong Kong Limited Partnership

You will need to provide the following documents and information to Kaizen by email or fax or post for purpose of incorporation:

(1)	Proposed company name either in English only or Chinese only or both;
(2)	One photocopy of passport (or identity card for Hong Kong resident) and residential address proof (such as utility bill or telephone bill) in respect of each General Partner; if General Partner is another corporation, please provide Certificate of Incorporation and registered office;
(3)	One photocopy of passport (or identity card for Hong Kong resident) and residential address proof (such as utility bill or telephone bill) in respect of each Limited Partner; if director is another corporation, please provide Certificate of Incorporation and registered office;
(4)	Amount of Contribution of each Limited Partner;
(5)	Basic background information of the new company, such as the principal business activities, the products to be traded or services to be provided, the location of suppliers and customers, the expected turnover of the first year etc.

The identification and address proof listed above must be certified by a staff of Kaizen, or by a CPA, lawyer or a bank manager.

Hong Kong Limited Partnership Registration Procedures and Timeframe

Normally, the incorporation process can be completed in 7 working days. The number of days is counted from receipt of duly signed the incorporation documents by us.

Registration Documents Returned to Client after Registration

Annual Maintenance

After a limited partnership is officially registered in Hong Kong, it is required to comply with the maintenance requirements such as renewing the business registration certificate, updating books of accounts and filing of tax returns. Our fees for some of these services are determined by the nature of business and volume of transactions. The fees listed in the table below represent the minimum maintenance costs that the owner of a Hong Kong company should budget for and are provided as a reference only and the actual costs could be higher.
